April 02, 2018 09:00 AM Eastern Daylight Time

NEW YORK--(BUSINESS WIRE)--Nickelodeon International today in partnership with KidsRights Foundation launched #KidsCan, an international campaign that spotlights the stories of nine International Children's Peace Prize winners and nominees from around the globe who are creating positive change in their communities.

As the next iteration of Nickelodeon’s international Together for Good initiative, Nickelodeon platforms will air profiles on each #KidsCan changemaker to educate young people about children’s rights and empower them to become changemakers themselves. New profiles will air monthly from April through December, highlighting remarkable children such as International Children’s Peace Prize recipient Chaeli Mycroft, a South African disability activist who started a campaign to provide equipment, physical therapy and support programs to thousands of children with disabilities.

“Nickelodeon is extremely proud to partner with KidsRights as we celebrate young people making the world a better place, one project at a time,” said Bradley Archer-Haynes, Vice President, Corporate Social Responsibility, Nickelodeon International. “Kids everywhere have the power to make a difference, regardless of age or location. We wanted to provide a platform to help amplify their stories, while pointing to resources that help young people remember they can do anything.”

#KidsCan profiles will also be housed on the Together For Good campaign hub and regional Nickelodeon websites, and shared via social media using #KidsCan. Visitors can take a “How Can You Help Others?” personality quiz that enables kids at home to interact with each changemakers’ inspiring stories. Visitors will also be directed to KidsRights’ changemaking platform where children from all over the world virtually come together. They will find tips on how to make change at home, promote their actions, support others’ actions and learn more about children’s rights.

“These nine winners and nominees of the International Children’s Peace Prize are true changemakers. They have on countless occasions demonstrated their ability to inspire children around the world and help them achieve positive change in their communities,” said Marc Dullaert, Founder and Chairman of KidsRights. “Through this special joining of forces between KidsRights and Nickelodeon, we offer them a megaphone to share their inspiring stories with an even wider audience.”

Nickelodeon Working On 'Welcome To The Wayne' Season Two

Voice actor Veronica Taylor today revealed the very exciting news to ToonZone Forums member @Eldorado during an appearance at the 2018 Indiana Comic Con that Nickelodeon has renewed Welcome to the Wayne for a second season, and that Nickelodeon are currently planning to premiere the remaining episodes of Welcome to the Wayne season one in a "bomb" format very soon!

(From L-R) Olly, Ansi, and Saraline from Nickelodeon’s Welcome To The Wayne

Set in a New York City apartment building full of mysteries, Welcome to the Wayne follows the comedic adventures of three friends, Ansi Molina, Olly Timbers, and Saraline Timbers, as they aim to unlock the secrets of the Wayne. Each new investigation brings them face-to-face with new characters, creatures, and oddities, known as “Wayne Phenomena,” leading them closer to uncovering the truth about the weird things happening in their building.

Created and written by Emmy® Award-winning writer and composer Billy Lopez (The Wonder Pets) and executive produced by Emmy Award-winning creative executive Michael Pecoriello (Yu-Gi-Oh!), the 20-episode series made its world debut on Nickelodeon USA on Monday 24th July 2017 and follows three kids as they explore their strange and fantastical apartment building, the Wayne, where nothing is what it seems. Fans can also play-along by searching for clues to crack the secret code.

Veronica confirming that Nickelodeon has picked up Welcome to the Wayne for season two will come as a relief for fans. Nickelodeon USA is currently only half-way through Welcome to the Wayne season one, with the last new episode airing in September 2017. Welcome to the Wayne has since debuted internationally, and most Nickelodeon channels around the world have completed the season. The long gap between episodes has caused concern among fans, who feared the show has been canceled.

In September 2017, the Nickelodeon Animation Podcast released an interview with Billy Lopez a couple of days early by mistake, with a bit mentioning that Welcome to the Wayne season two had been greenlit, however, when the episode was re-released officially a couple of days later, that bit was edited out.

The voice cast Welcome to the Wayne includes: Alanna Ubach (Girlfriends’ Guide to Divorce) as Ansi, the anxious new kid in town; creator and co-executive producer Billy Lopez as Olly Timbers, the adventurous 10-year-old son of a toy maker and a military scientist, and lifelong resident of the Wayne; and Dana Steingold (Avenue Q musical) as Saraline Timbers, Olly’s responsible and more mature little sister.

Additional voice cast members include: Veronica Taylor (Pokémon) as The Spy from Apartment 8-I; Marc Thompson (Pokémon) as Masterson; and Robbie Sublett (The Good Wife) as Flowershirt; Dave Willis (Aqua Teen Hunger Force) as George the Doorman; Dana Snyder (The Thundermans) as Wendell Wasserman; Nikki M. James (BrainDead) as Julia Wiles; Carey Means (Aqua Teen Hunger Force) as Jonah Bishop; Harriett D. Foy (Collateral Beauty) as Clara Rhone; and Charnele Crick (Bocce Ballers) as Goodness.

Guest stars in season one include: Annie Potts (Ghostbusters) as Olympia Timbers; Andrew Rannells (Girls) as Andrei, Alfred Molina (Spider-Man 2) as Albert Molina; Richard Kind (Inside Out) as Harvey Timbers; Emo Philips (Adventure Time) as Dennis O’Bannon; David Hornsby (It’s Always Sunny in Philadelphia) as Leif Bornewell III; Daniel Abeles (Smash) as Randy; and Shannon Walsh (Begin Again) as Madison Payne; and Clarke Thorell (The Americans) as Garrison Payne.

Before the full-length series, Welcome to the Wayne was Nickelodeon’s first digital short-form series, which debuted on official Nickelodeon websites and the Nick Play app in select markets.

Billy Lopez is an Emmy-winning writer and composer from New York City. He has written for shows including Phineas and Ferb and South Park and been head writer on several preschool shows, including The Wonder Pets!, 3rd & Bird! and PBS’s Peg + Cat. Lopez also co-created an adult sitcom for ABC Studios. Michael Pecoriello is an Emmy Award-winning creative leader. He has overseen campaigns for Nickelodeon tent poles Kids’ Choice Awards, Kids’ Choice Sports and the HALO Awards and also served as supervising producer and head writer on animated series Yu-Gi-Oh!.

Fans can immerse themselves in the Wayne by following the official Instagram account to discover more about the show, characters, and mysteries within.

Nickelodeon Hints That 'Hey Arnold!' Season 6 May Be In The Works [Update: Craig Bartlett Gives Status Update]

Nickelodeon has hinted in a post on Facebook, that, following the success Hey Arnold!: The Jungle Movie, the networks revival of its beloved '90s animated series Hey Arnold! that resolved many unanswered questions and plotlines from the original series, that Nickelodeon may be planning to make a sixth season of Hey Arnold!!

In Nickelodeon's Facebook post, in a response to post by a fan asking for Hey Arnold! season six, Nick said"Have you seen the NEW Hey Arnold movie?! It's not a new season, but close enough for now," and accompanied their post with a wink emoji. Although it doesn't confirm that Nickelodeon are planning a sixth season of Hey Arnold!, Nick wrote a similar post about "The Jungle Movie" in 2015 before the film was officially announced. The "for now" part in Nick's latest post is also very interesting.

Update (4/2): Craig Bartlett, the creator of Hey Arnold!, today gave an update about the possibilities of Hey Arnold! receiving a sixth season six during a Reddit AMA:

"Okay, everyone, when you see a question for "will there be a season 6" refer the asker to this. I want to do a season 6. My crew wants to do a season 6, and the cast wants to do a season 6. Nickelodeon knows this, we have been talking about it for a long time. I've put together a proposal about what would happen in a season 6. Now it is up to Nickelodeon if it will happen or not. I don't control it; Nickelodeon does. If they decide to do a season 6, they will tell me, and as soon as I know I will tell the fans on my social media. Meanwhile, until I know something, I won't say anything about it, because I simply don't know. I don't want to jinx it by speculating, and besides, nothing is real until "the ink dries and that ship has sailed," as Big Bob likes to say."

Hey Arnold!: The Jungle Movie ended with Arnold and his gang starting sixth grade, and, in the lead up to the premiere of "The Jungle Movie", Craig Bartlett, the creator of the iconic Nicktoon, said that he hoped the movie would eventually lead to a sixth season.

Hey Arnold!: The Jungle Movie premiered to critical acclaim in November 2017. The movie saw Arnold finally getting answers to the whereabouts of his missing parents, and featuring a storyline which picked up where the original TV series ended. Co-written and executive produced by the TV series’ original creator Craig Bartlett, the US-English dub of Hey Arnold!: The Jungle Movie features original voice cast members Francesca Marie Smith (The Prince of Egypt) as Helga and Anndi McAfee (Tom and Jerry: The Movie) as Phoebe, alongside dynamic new voice talent Mason Vale Cotton (Mad Men) as Arnold and Benjamin “Lil’ P-Nut” Flores, Jr. (Game Shakers) as Gerald. Lane Toran (original voice of Arnold) and Jamil Walker Smith (original voice of Gerald) are also amongst the returning cast members, lending their voices as Che and Paulo, two members of the boat crew in San Lorenzo. Alfred Molina (Spider-Man 2) stars as resident villain, Lasombra.

Craig Bartlett | April 2018 Reddit AMA Highlights

Craig Bartlett, the creator of Nickelodeon's iconic '90s animated series Hey Arnold!, today did a Reddit AMA, in which he answered fans questions about Hey Arnold!, Ready Jet Go! and Dinosaur Train, as well as space travel! Check out the highlights from Craig's Reddit AMA below, and read his the full transcript at reddit.com!

This is Craig Bartlett, animation creator of Ready Jet Go!, Hey Arnold!, and Dinosaur Train – ask me anything!

Hi redditors, this is Craig Bartlett, animation creator!

Proof that it is really me: https://www.instagram.com/p/Bg4HqIAl8pF/?taken-by=craigbartlett

Season 2 of Ready Jet Go! launched today, April 2 on PBS KIDS (check local listings) with a special week of new episodes that will get young viewers from coast-to-coast excited about space and science. My two-hour TV movie, "Hey Arnold! The Jungle Movie," launched on Nickelodeon November 24 and is now available on DVD and digital download. And we are starting production of 11 more half hours of Dinosaur Train, also on PBS KIDS, that will take the total number to 100.

I'm looking forward to talking to you all about my shows Ready Jet Go!, Hey Arnold!, and Dinosaur Train – so ask me anything!

Hi Craig, I'm a University Professor and here are some questions from my (brilliant!) students enrolled in my Media and Popular Culture class.

phgau2: Regarding Hey Arnold:

1a. What was your primary objective in creating such a diverse cast of characters in Hey Arnold!? 1b. How did this diversity aid viewers through the process of identification or identity formulation (who we are and where and with whom we belong)?

2a. What distinct steps were taken to ensure that the content and characters within Hey Arnold! were both relatable to global communities as well as individuals particularly within the West? 2b. Did you initially consider that your material could be interpreted differently by viewers with varying cultural backgrounds?

Regarding Dinosaur Train:

3a. Dinosaur Train does a great job of expressing inclusion and observing differences between the different dinosaur species. Why do you think this message isn’t lost on the youngest viewers (ages 2-4) that are watching the show?

3b. Dinosaur Train is aired in different parts of the world. How do you keep the message and meaning of the show the same through different cultures?

Thanks for answering. Keep on the amazing work!

CraigBartlett: 1a) I just thought it was time for an ethnically/gender diverse cast on a cartoon show. I knew I wanted to set it in the big city, and my experience living in LA in particular was like that: a big gumbo of different cultures, all living side by side. 2a) I hoped for the best when I made HA! but didn't know if it would resonate internationally. I think in storytelling you aim for the personal, and hope it will be universal. 3a) little kids are so cool -- they have amazing intuition and absorb our messages like sponges. I feel like those details may fly under the radar, but the kids will pick them up somehow. 3b) same answer: the personal becomes universal!

qilincrusader: I have a stupid wish fulfillment question. Does Stinky have a chance with Lila? Stinky always seemed to be the 2nd most interested in Lila next to Arnold (3rd if you count Arnie) and I’d always thought they would make a cute pair when they become teenagers.

CraigBartlett: They would be a cute pair. And they both seem to be transplants to the city from the country so they'd have something in common.

kimbergal:
Hi Craig! Thanks for taking the time to do this, it's really exciting (and probably not as nuts as those old live chats, hah). I have a few Hey Arnold! q's.

- In your career you've created content targeted to many age ranges, from your early PeeWee shorts, to Nickelodeon and of course Hey Arnold!, and later to educational shows for the younger crowd like Dinosaur Train. You've also pitched ideas that were targeted for older audiences such as The Patakis. What has your experience been creating content aimed at different audiences? Do you find any segments more challenging and/or rewarding, and in what ways?

- A lot has changed since the original drafts of the Jungle Movie script, from the voice actors growing up, to crew members moving on to other projects, and in particular the loss of Steve Viksten, who was such as integral part of the show's development. What were the biggest obstacles in bringing something like this back, and in what ways do you feel the completed movie lived up to and even improved upon the first version?

- One of the most gratifying and touching parts of Hey Arnold! was the development of Helga as a character, seeing snippets from the beginning of the show about her crummy home life and her obsessive nature, expanded on in episodes like Road Trip and Helga on the Couch. In the Jungle Movie we see her mature in a lot of ways, but she still has shrines and insane levels of Arnold worship. How do you see Helga growing in the future? If HA! were to continue beyond the Jungle Movie, what challenges do you imagine Helga facing?

Thanks again, and congrats on the new episodes for Ready Jet Go and Dinosaur Train!

Kim

CraigBartlett: Wow, so many questions! I'll go in order: it's easier to write for older audiences because there are limits to what preschoolers will even "get." Also my preschool shows have curriculums, which we need to learn before we can write the shows! luckily the subject matter is really fun to me: paleontology and space.

CraigBartlett: to continue! The Jungle Movie actually benefitted a lot from taking 15 years to complete. I had a chance to think about what fans wanted most from the series, and so when I got the chance to return to the story, I put all those answers in. And at first, Steve didn't even want the parents to be alive, but after all these years, I thought, I don't care, it's my universe and I'm going to bring them back alive. I do think Helga has the farthest to go. She's very impulsive and often acts out like Big Bob, not really caring about the consequences. I'd like her to grow more compassionate in the future, but I'm torn because her acting out is so damn funny! So maybe there won't be a whole lot of learning there. Luckily Arnold is a very wise kid and can probably tolerate her shortcomings.

Alex-7-E: I grew up watching Hey Arnold, and Doug.

Are any of the characters based on real people?

Had no clue there was a new Hey Arnold movie, any plans on more?

Thank you for the show.

CraigBartlett: The kids in Hey Arnold! are very loosely based on people I knew. There was no Helga -- she's too complicated a character to be based on anyone real!

qilincrusader: Do you think Miles and Stella would ever adopt a child to make up for the time they lost with Arnold?

CraigBartlett: Haha, we're going to have our hands full as it is with Arnold's parents back! I think I'd start with just trying to deal with the new dynamic of having parents in his life!

NYCNICO: Is there any episode of Hey Arnold that you’re not satisfied with and wish you could go back in time and change?

CraigBartlett: Hi, I'm online and ready to go! I remember being unsatisfied with some of the first season episodes where we got so many notes, the stories changed from our original intent. "Biosquare" and "World Records" were a couple examples.

Synviks: Hi there Craig! I posed these questions to Francesca Marie Smith when she did her AMA several months back, and now I'd love to hear what you've to say!

1: Helga’s depth as a character seems to originate from many contradictory aspects of personality:

Very large heart and emotional sensitivity that’s walled off by cynicism and fear of vulnerability, an extremely gifted intellect that's nevertheless prone to repeat mistakes which alienate those she cares about (namely Arnold), a loathing of familial interaction yet a deep-seated desire to have an authentic/loving interaction with them, a strong sense-of-self/self-confidence that is occasionally tossed aside when it may impress Arnold/deflated when comparing herself to her sister or peers, etc. etc.!

These almost paradoxical traits push and pull her in many directions, causing her instability and anguish. In your view, what would Helga need to be “okay”? That is to say, to grow up in to a successful, stable person who is mostly secure with themselves and doesn't feel empty?

2: Since the advent of feminist frameworks of analysis and criticism, the trope of female characters being defined in relation to/motivated by male characters has been rightfully called out for its sexist underpinnings. One would initially think Helga would be an example of this trope, but many viewers find enough depth and complexity within her character to feel that such a reading is erroneous. What are your views on this matter?

And one more question for my own nerdy satisfaction: throughout the series the effort is made to portray Helga as being someone who doesn't fit the archytypes for Western beauty standard in various ways (large nose, large ears, unibrow, lanky, overbite, etc). This aspect of the series, and Helga's alternating views on herself in those regards, made her character more relatable and somewhat inspiring when she fully embraced her qualities.

As such I simply must know: does she keep her unibrow?

Haha on that note, thank you very much for your time here! It goes without saying that all of us here have a great love and appreciation for your art and the way it has effected our lives, and we certainly look forward to the wondrous beauty and effect of your future endeavors : ).

CraigBartlett: 1) for Helga to be "okay," she will have to fully accept herself with all her faults and love herself. I think she's on that path. If you think of her satisfaction pulling her hand away from Arnold and saying "who said you could touch me?" it seems that she's empowered by being able to be okay all by herself. She'll set the terms about how they get along from here, thank you. 2) I hope that Helga's complexity as a character takes her beyond the trope of being motivated by her devotion to Arnold. The scene above seems to say so. 3) yes, she proudly keeps her unibrow!

DoodlesAndJunk: Hi! Thank you so much for such an amazing journey that was TJM. I wish it was longer. Are we eventually going to see the deleted scenes, other than Steve Lowait’s awesome cinematics? Could there be an ‘’uncut’’ version available on BLURAY? Because I know I’m not the only one who needs more. (◍•ᴗ•◍)❤

CraigBartlett: If we get a better, bluray version of the movie, with extras, maybe we could add some deleted scenes. Many scenes were cut in script, some were cut in storyboard and animatic, and some were even cut from final animation. There's so much background it would make an excellent "extras" section. I don't know, write to Nick, maybe they'll do it! I'd love to do commentary with the artists, too.

puiopfgh: Hey Craig. My partner and I wanted to say thankyou for creating the best show in Nickelodeon's history. We have a couple of questions

Were there certain side characters you feel were under-utilized? We personality would love Nadine-centered episode as well as for Lorenzo to be more recurring

If I recall correctly, you said in an interview that Hey Arnold could potentially go on forever with the characters ageing up. With that in mind, if you were given an opportunity to do a more mature version of Hey Arnold! aimed at now grown up fans of the show that wasn't gratuitous but explored mature themes (similar to what Cartoon Network did with Samurai Jack). Would you do it?

CraigBartlett: Sure, I'd do all of the above if I had the chance. I would love to do a Nadine episode, where she's further developed as a character.

Weird_donut: Hi, Craig! I am a huge fan of your work - especially Ready Jet Go. I'm going to ask a lot of questions. My first question is a Ready Jet Go question - do Mindy and Mitchell like each other? I have seen some hints in the show.

CraigBartlett: I bet Mindy would be friends with Mitchell. Maybe she can draw him out.

Sh4zayum: What episode of Hey Arnold! personally struck a chord with you the most?

CraigBartlett: I think "Helga on the Couch" most of all. It was really fun to show her back story and build more sympathy for her. I feel that way now more than ever, because so many people have told me how much they love that one.

ChervalR: Why did you choose the fourth grade? I'm making a cartoon myself and a lot of cartoons have kids in the fourth grade? Is there a certain formula that involves the fourth grade?

CraigBartlett: Good question! I chose 4th because to me, it's right in the middle of childhood, right in the heart of grade school. You're not the youngest, you're not the oldest.

guywholuvcartoons: What do you think about "Arnold Betrays Iggy" and "New Bully on the Block"?

CraigBartlett: They aren't my favorites. Steve Viksten wrote "Iggy," and my only comment was that if Arnold was going to have to wear the bunny pjs, we should really go for it, with it being like a festival crowd and Jim Lang's tragic music. I realize how much the episode is hated by fans, but I take responsibility for it. I was around for the whole process, so that internet version that has me being really mad when I saw it is crazy, because I was around for the writing, I directed the voices, oversaw the animatic and the final cut, and I mixed it. So of course I knew how it would come out.

Zeether: You mentioned seeing a lot of Studio Ghibli anime movies back on one of the Arun Mehta show interviews (loved those by the way, they got me back into HA!), have you seen any other anime?

ArunMehtaShow: Thanks everyone for supporting the show! You can check out all the Craig Bartlett interviews here: http://arunmehta.libsyn.com/website/category/Craig+Bartlett+Interviews

CraigBartlett: I remember when I did a job in Japan, at the end of the 80s, I watched "Totoro" and "Kiki" and they blew my mind. At the very same time, "Akira" came out. They all were huge influences. I saw other anime shorts and features but those were my favorites.

Nestly25: I know that the fans of Hey Arnold are incredibly passionate about the possibility of pushing for more. While the decision is ultimately up to Nick, what are some things that you think fans can do to help contribute in this happening? We do things like fan art and stories, fan group get togethers, advertising our love through social media. But I always wonder if there’s not something more that we can do besides that, and hoped you’d have more insight on what the people in charge look for when deciding to revamp/continue a series like this!

CraigBartlett: Thanks for asking! I guess the only thing to do is to write to Nickelodeon, and maybe the sheer number of requests about the show will help convince them. There were many, many factors in Nick ordering up the Jungle Movie, and fan interest/requests was certainly one of them!

emwo: Season 6 finale hey Arnold or nah?

CraigBartlett: Okay, everyone, when you see a question for "will there be a season 6" refer the asker to this. I don't want to jinx it by speculating, and besides, nothing is real until "the ink dries and that ship has sailed," as Big Bob likes to say.

King__Barsoom: What ever happened to cousin Arnie?

CraigBartlett: Arnie's doing well. Maybe we'll bring him back, he's a lot of fun.

SpectrumBunny: Hi Craig! I'm wondering what inspired you to create Ready Jet Go. At what age did you start taking an interest in outer space?

CraigBartlett: I was the perfect age to witness the space race to the Moon. It was happening all though my grade school years, from Mercury to Gemini to Apollo. So I was in love with space exploration from the start! I created Jet to be a "kid's first space show." And then they could grow up and move on to "Cosmos" etc.

no-Pachy-BADLAD: Hey Mr Bartlett, great to have you here, a few questions:

1) You've mentioned before one of your regrets about the show was how the writers treated Lila, especially towards the end when they leaned perhaps a bit too much on the love triangle aspect with her and Arnold/Helga - and I think this may have had an effect on -whew - QUITE the amount of anti-Lila fanart that I've seen in the fandom (one example coming to mind right now is a Mean Girls parody one of your fave artists(!) Limey404 did),

THAT SAID, it seems that in recent years, perhaps since news of the Jungle Movie came out, that anti-Lila sentiment seems to have died down, and some of the newer spat of artist that came out around, say, 2015+ seem to have an even more positive view of her (or at least relative to the antipathy I've mentioned above). I was wondering if you've ever noticed this as a creator engaging in any fan space since then?

2) Speaking of recent artists, are there any from this recent batch that you've grown a liking to? I believe you've mentioned before (on places like the interview with Arun Mehta?) that you've liked stuff from the aforementioned limey404, bloochikin/Najja Porter and criminyy, anyone else since then whose artwork you've really liked?

CraigBartlett: 1) Well, we added Lila to the show as an innocent kid who gets in Helga's way because Arnold likes her. But as the show went on, she becomes more manipulative, and it was amusing to us, but probably made all the Helga fans hate her. I'm sorry about that, because she's such a sweet kid. She's complicated though! 2) there are so many new fans making unbelievably cool art! Go to my IG and see all of them, I post them all the time.

desi1197: Hi Craig, I just have a couple of questions:

1.) What jobs do you imagine Miles and Stella having since they're back in hillwood?

2.) Will Arnold ever get a sibling? If so, would it be a little sister or little brother? I'd personally love it if he had a little sister.

And I just want to say thank you for doing this AmA. Hey Arnold is my favorite show ever and it just brings me so much joy! Thanks for everything!

CraigBartlett: The idea of what will happen with Miles and Stella now that they are back in the neighborhood would be a main theme of a season 6. I think they would try to update the boarding house and take over running it from Grandma and Grandpa, and there would be tensions over that.

CraigBartlett: Go to Jim Lang's website knobworld, or google him, he posts up mp3s of the show's music. You can email him and request stuff too. He's the coolest.

Weird_donut: Ready Jet Go question: what kind of dog is Cody?

CraigBartlett: Cody is a mutt, I think! I'm glad you like him! Rachel Lipman wrote Cody into the series, I'll ask her. I think he's based on her dog.

ahaq2869:
r/IAmA Heads up for Season 3 Episode 1 comparison of Mindy Turns 5 u/ahaq2869 Season 3 Episode 1: Jet gets a Sibling (2 parts)

Hey there Craig Bartlett, When will you start filming season 3? Anyway here is a heads up for the very first episode and I really reallly really want you to make it first once you start making season 3

What would it be like for a newborn Bortronian baby in space?

Could it be like Mindy's first time in space in Mindy turns five perhaps?

In the episode, only Carrot and Celery will go to Bortron 7 in their car that becomes a flying saucer to get the baby delivered and Celery would use a baby girl's vegetable name, in which the baby would be named Lettuce. Before the baby is delivered, Carrot and Celery will get Bortronian disposable diapers on Bortron 7 through the galaxy. And Lettuce would be in a Bortronian long sleeve inside sleeper onesie with booties connected, and a baby's beanie in the same color outfit the Propulsions are wearing. Carrot and Celery would be giving Lettuce a tour of the Solar system on the way home from Bortron 7 starting with Pluto, to the Sun and then back to Earth to welcome Lettuce to the Propulsion's house and family along with Jet, Sunspot, and his friends.

The part where Carrot and Celery are on Bortron 7 here will be the script (Part of it) Celery: We're ready to get the baby delivered! Carrot: And to get some Bortronian disposable diapers! Celery: You're right Carrot, we need to get some disposable diapers that are perfect for space and protective for planets and moons that are not good for life. Carrot: Well Celery, maybe Jet can take care of Lettuce a lot. Celery: Even when we take the kids to space.

The very young baby character named Lettuce Propulsion will be included in all Ready Jet Go episodes starting from season 3 along with Mindy still going to space with the kids.

CraigBartlett: Haha, thanks for the story pitch! I love the name lettuce for the baby.

DoodlesAndJunk: Will you be attending SDCC this summer?◔‿◔

CraigBartlett: I hope so! Nick could send me... hint, hint.

kimbergal: Would be sweet if you went for a third year! A group of fans are planning a big get-together at Comic Con this year. ;)

qilincrusader: Are there any other classic plays you wish you could have done in Hey Arnold? Like "Much Ado About Nothing" for example.

CraigBartlett: Yeah, more Shakespeare! We chose "Romeo and Juliet" since I know that's usually the first one kids encounter in school.

HeyArnoldRox: If Hey Arnold took place right now (Before a The Jungle Movie) what topics would it focus on? Would the setting look different? Would there be more advance technology?

CraigBartlett: We updated the time to now, so it's magically the present, even though 20 years have passed.

theITshroud: I thought it was so appropriately Rhonda for her to use her smartphone the way she does in TJM 😂

CraigBartlett: Me too. We wanted at least one kid to have a smartphone, since it is 2018 now.

ChervalR: Do you consider Rhonda to actually be filthy rich or she just happens to be better off financially among the rest of the kids?

CraigBartlett: Nah, she's just a little better off than the others. Rhonda mostly acts rich.

Weird_donut: Was Arnold Betrays Iggy actually banned?

CraigBartlett: Not that I know of.

jeffreykare: How did the idea for the episode ‘Arnold’s Halloween’ come about?

CraigBartlett: Great question! I'm a big Orson Welles fan, and love the story of his halloween prank broadcast in '39. We were working with Maurice LaMarche (Big Bob), who does a hilarious dead-on Orson Welles (the Brain in Pinky and the Brain) so I thought, why not do an Arnold version of the '39 broadcast? Maurice can play the Orson Welles character!

epictoyseries02: I binge-watched the entirety of Hey Arnold!, back in October-November of last year, to prepare myself for The Jungle Movie. And I have to say, the show was fantastic. You and the rest of the HA! cast and crew did an amazing job doing the show. Same goes for TJM, I enjoyed it. And I wish you the best of luck on the future of your cartoons!

Compliments aside, here's my question. My original question was on Season 6, but someone asked that question and you already answered that. So, I'll go with this: From each of your shows, Hey Arnold!, Party Wagon, Dinosaur Train, and Ready Jet Go!, which character is your favorite? It can be either one that you've created or one that another crew member made. Take the time to respond back, when you can.

CraigBartlett: ha, that's a great question. I think I love Arnold the best, since he's been with me the longest, but in making these different shows I've decided Jet Propulsion is the most like me: perpetually enthusiastic, kind of ADD about remembering new things, and willing to burst into song at any moment: a "Music Man" from outer space.

jellopuddingstick: Hey Craig, I'm posting these on behalf of my sister, who is a huge Hey Arnold! fan. She tried to post these herself, but it looks like Reddit might be throwing away new users' questions. If you could answer any or all of them, it would mean the world to her.

Why does Helga take her hand away at the end of The Jungle Movie? Her fear of rejection is gone, and presumably everyone knows her secret at this point since they were in her Arnold collection, so the fear of ridicule is gone too. What's her motivation for continuing her bully facade?

What was Arnold's and Helga's dynamic like during the 5th grade year that we didn't get to see? Are the Draw Somethings you've posted on Facebook and Instagram supposed to take place then?

Thanks!

CraigBartlett: Hi sister! Helga takes her hand away because she's still not comfortable with public displays of affection. She likes being tough and brittle and isn't ready to quit just yet. You can see that it makes her happy to be in charge... she's a complicated girl. 5th grade is now the "lost year." I guess that my DrawSomethings cover it, but they kind of have a life of their own!

DoodlesAndJunk: Would you consider making an artbook of HA, series and movies, combined or in volumes? Ca-ching! If so, please take my money.

CraigBartlett: I think it's a great idea. Write to Nick and ask!

jjc927: Who had more say in the casting for the Jungle Movie, you or Nickelodeon? Was it more your intention or theirs to have some bigger names (Mason Cotton and Alfred Molina specifically) in the cast along with the returning cast and Nick personalities?

Did you and Nick audition younger actors/actresses for the child characters that were voiced by now-adults (Frannie, Andi, Justin, Olivia, etc), or once they came in and showed they could still do the voices there were no other auditions done for their roles?

CraigBartlett: We cast the movie with a lot of great help from Nick. We brought in Mason and Benjamin because the original Arnold and Gerald were too different-sounding now. But Alfred Molina was our first choice as Lasombra. I love his work. He crushed it, btw. what an actor! The kid actors who returned did so because they still could sound like their kid versions.

jjc927: Mason and Benjamin were great as well, and Alfred Molina totally did crush it!

RainbowTubaStudios: Hi, Craig! I'm a HUGE fan of Hey Arnold, and it's really exciting to see you answering questions here! I've been wondering, I know you've said both Mr Simmons and Eugene are gay, but are there any other characters on the show that are LGBT+? Representation is something very important to me, and I'd love to hear if there are any other characters you see as LGBT (particularly transgender characters, since we REALLY don't see a lot of those)

CraigBartlett: That's about it for now, but if the show went on, I'd try to represent different kinds of characters.

Weird_donut: You already answered this type of question for Hey Arnold, but are any of the characters from Ready Jet Go and Dinosaur Train based on real people?

CraigBartlett: Tiny and Shiny remind me of growing up with my two older sisters. though they don't really resemble them. And I am Buddy, of course, who is really a lot like Arnold: friendly, optimistic, likes to be right in the middle of everyone.

RTJ1992: Every Christmas my family and I watch the mr hyunh Christmas episode. It really is a beautiful episode. How was that episode inspired?

CraigBartlett: We wanted to do something different. We loved Baoan Coleman, who plays Mr. Hyunh, and Steve Viksten suggested a Vietnam flashback story, as crazy as that sounds. When I pitched the idea to Baoan, he told me that he had been in the fall of Saigon and had helicoptered out and to the US. So it seemed like fate -- we had to do this story!

jennyleigh1976: Thank you so much for Ready Jet Go! My soon to be 3 year old and I are in love with it. Do you know if plans for merchandise/toys are still in the works? If so, do you know when they might be released? Thanks!

CraigBartlett: Thanks! Yes, we are working on licensing all kinds of merch, and hopefully it will come out soon. I want a Sunspot plushie!

michellejohansen: Hi Mr. Bartlett! I was hoping you could tell me what your favorite "Arnold moment" is? Also what's your favorite "Helga moment"?

CraigBartlett: Hmm, I think Arnold's tears of joy when he's reunited gets me the most. I also like when he's delivering a nice dry line like, "Did some plaster just fall on my head?" in "The Baseball," Or "Thanks, Grandma" in "Partners." Helga: I just love her monologues that end in punching Brainy, from the first in "Downtown as Fruits" to the latest in the Jungle Movie.

Weird_donut: Is the RJG episode "My Fair Jet" supposed to be a reference to the film "My Fair Lady"? I found several similarities.

CraigBartlett: Yes it was! The plot is: can Sean and Sydney transform Jet into a normal Earth kid? just like Professor Higgins has to transform Eliza into a "lady."

jeffreykare: When you were given the chance to develop the Hey Arnold! movies, how did the idea for Arnold Saves the Neighborhood come about? Also, had you developed Arnold Saves the Neighborhood strictly as a theatrical film as opposed to a TV movie, how different do you think it would’ve been?

CraigBartlett: I remember Paramount wanted big "stakes" -- that kept coming up. "What's at stake?" So we thought, how about if the whole neighborhood is going to come down? I think if we had made the movie for theaters instead of TV, we simply would have spent more on time, animation, and shot it on film. The worst thing about the release was we transferred our video to film and it didn't look as good as it could have.

jjc927: If season 6 does happen will Arnold and Helga be public with their relationship right away or will be it more just between them at first or something that develops as the season goes on?

CraigBartlett: I haven't decided -- probably whatever is funniest, and creates the most possibility for good stories.

jeffreykare: Where did the idea for Dino Spumoni come from?

CraigBartlett: Joe, Steve, and I all love Frank Sinatra. We love all the crazy stories about his career, and his mid-fifties albums are amazing. So we came up with Dino, as a "low-rent Sinatra," so we could spoof some of the things Frank did.

qilincrusader: What's your favorite Dino Spumoni song and do you wish you could have done more? I personally adore "I Won't Smash Your Heart".

CraigBartlett: I agree, "Smashed" is a favorite. Jim and I have made an extended version of that song, and someday we hope to bring it out to the public! I also love "My Last Bow." I sang that one at Steve Viksten's memorial service.

guywholuvcartoons: Why did Coach Wittenburg say "circumcised swimming"

CraigBartlett: Coach gets a lot of words wrong -- we call them "malaprops." That became an essential part of his character.

ChervalR: When you're coming up with episode ideas, do you think about what kind of situation that character would get into or do you think of events that you would like to animate?

CraigBartlett: probably the first one, then the second. Sometimes I think how fun it would be to riff on a favorite scene in a movie, but usually it comes from character.

elly1517: Hi Craig, I'm writing my master's thesis on Hey Arnold!; examining how Arnold is an empathetic character with a love of the natural world - like plants (Mighty Pete) and "unusual" animals (Chester, Abner, Lockjaw).

Was your relationship to nature a lot like Arnold's while growing up in an urban environment? How important was it to include Arnold and the kids interacting with the natural world?

I noticed your post on Instagram from International Women's Day of your Grandmother. What was her influence on you growing up, and did that ever influence the show? Your writing of Grandma Gertie?

Was Big Bob meant to be a symbol of patriarchy, or did that sort of come around naturally? (He runs an "empire," dresses up as a king, the house is his "Castle," his domineering relationships with Miriam, Olga, and Helga)

And I have to ask - any chance of a season 6? ; )

Thanks Craig!

CraigBartlett: What good questions! First, when I was around 12, my parents moved us out of Seattle to a remote beach (Snee-oosh) where I had a ton of "alone time," mostly paddling around in a canoe. I made a huge connection to nature there, nearly drowning many times, hiking through the woods, putting out a crab pot and digging clams. That connection was huge in building my inner life and creativity. I recommend it to everyone! My grandma, "Nanny," was my favorite relative. Not only did she bring my mom Kay into the world, she was sweet, fun, full of energy, and took care of us kids a lot. I remember her crazy driving around Seattle, me in the back seat with a smelly wool blanket scratching the back of my neck. I love your Big Bob question. He certainly is an excellent symbol of the patriarchy, tho we did not do it consciously. He just became, so Helga would have a perfect narcissistic blowhard for a dad. See above in the session for my answer about season 6! Good luck with your thesis!

Jackeline-Scollyn: Hello Craig I am your follower since childhood from the caricature of Hey Arnold so several of my questions are related to the series and some other more personal, I was part of the group on Facebook that was called "save the jungle movie" when I was in high school , and the wait was long, I must say that it was totally worth it, here are my questions:

What was it that motivated you to do The jungle movie?

This question is a bit funny but have you considered making the perfume of Arnold and Helga? This as a reference to the episode where Helga goes to the psychiatrist when she confesses her love for Arnold and mentions that she wanted a perfume with the name of both.

Once Toys R Us closed and some of Nickelodeon's original merchandise was sold there now, where can we get more merchandise from Hey Arnold?

Maybe this is a more personal question but tell us about how you met your wife, love the love stories haha

Is there going to be season 6? Hey Arnold

6.In the episode of "Girl trouble" where the grandfather is telling Arnold about the girl who was bothering him, in the final part arnold leaves the room, the grandfather never tells him that it was his grandmother, then ... He never knew ?

Have you considered coming to Mexico one day? Here you also have many fans that you would make happy.

In Comic Con de San Diego will you have time for your fans? I would have liked to be able to go more I will not have the opportunity this year, however a friend is going to attend and I want to send an embroidery of Hey Arnold that I am doing to you ☺

In the episode of Valentine's Day when Helga poses as Cecile and in the end Arnold realizes that she was not, saves her shoe at the end of the episode, what's wrong with that? I think that this is one of the questions that most cause me curiosity, it would be good if Arnold would realize this in the future, along with Helga who helped him in the Christmas episode, when she changed her boots for information about the Hyunh's daughter

I live with the fear that you block me on instagram because I like everything you upload hahaha I'm glitter_tears_blossom tree the girl with the Helga Pawtaki and the Kiss embroidery (If one day you occupy a dressmaker I offer myself haha)

CraigBartlett: Hi Glitter_tears! Yeah, that embroidered kiss was awesome. 1) the Jungle movie started as our first movie, because Paramount wanted something big, and finding Arnold's missing parents was considered the biggest thing of all. 2)Haha, the "Arnold and Helga" perfume would be pretty cool. 3)Amazon! 4)We met at her sister's Memorial Day party. 5)The answer is somewhere on this Reddit! 6)Yeah, Arnold was out for that last scene! 7)I want to come back to Mexico, it's been many years since I've been. 8)I still don't know if I'm going to ComicCon this summer. 9)I think he'll find all that out eventually. Sometimes those mysteries are best left not shown. It's more magical that way.

beans2008: Hi Craig! Huge fan here, I’ve been watching Hey Arnold since I was 9, and writing letters to Nickelodeon since I was 13 to greenlight HATJM, I was finally able to get closure after watching it this past november as a 27 year old woman (i missed the first couple hours of a friends wedding to watch it, no lie lol have my reaction on IG) as i felt it would close the last chapter of my childhood and help me move on to adulthood. It is my belief that a deep character like Helga is why the show meant the world to a broken soul like me. I was wondering if the Patakis is possible?

ALSO ofcourse praying that NICK gives us a season 6!!! ❤️

thanks.

CraigBartlett: Thanks for missing the wedding for TJM! Apologies to the bride! May all your prayers be answered.

sourpatchkidj: Hey Craig! Thanks so much for doing this AMA! Greetings from Asia! (3 AM here!) Been waiting all week for this!

I have a couple questions, if you would be so kind as to answer:

1) You mentioned in an interview that the Arnold/Helga love confession scene played out very differently in an early draft of the Jungle Movie (like 10 years ago?) What did that look like? Furthermore, are there drastic changes you had to make to the Jungle Movie that we saw last year, compared to the original draft from years ago?

2) I just watched Operation Ruthless last night (1-7A) where the characters go to the Cheese Festival for the first time. I noticed that Rhonda forced Harold onto the Tunnel of Love ride. Other than our 2 class couples (Arnold and Helga, Gerald and Phoebe), are there other people you would couple up? (Lila, Sheena, Katrinka, Nadine, Sid, Stinky, Park, Eugene, etc)

3) Lastly, what became of Curly? He's one of my favorite characters, cause he's so demented. Is he a psychopath? Mentally ill?

Thank you for creating such a brilliant, historic series that I will forever cherish. You're a legend. Be well!

CraigBartlett: 1) In other replies I answer the question about changes to the story in this new version of the Jungle movie. 2) Fans have been hoping for Stinky to hook up with Lila. That sounds like fun. 3) Curly is pretty psycho, but he's fine, he'll be around for future episodes if I get the chance to do them.

CallMeNettie: Craig, if there is a season 6, will Arnold ever find out that Helga was his Christmas Angel? That was such a selfless thing for her to do I've always felt he should know.

CraigBartlett: Like I said elsewhere, I think Arnold eventually finds out the various selfless things Helga has done. But I think he'll find them out on his own, without our seeing it. It's more poetic that way.

qilincrusader: Have you considered making a character that paid homage to Penny in Hey Arnold?

CraigBartlett: Haha, but she's got pennies for eyes! and is made of clay!

supermikeRs: What is your episode of a Hey Arnold that you are most proud of?

Which voice actor for Hey Arnold did you feel was the best match over the seasons?

CraigBartlett: Toran had a great sensitivity; Philip had a really "centered" regular-guy vibe; Spencer was very versatile; and I think Mason now feels like the most "Arnold-y" Arnold of all!

Weird_donut: Are Mitchell Petersen from RJG and Stinky Petersen from HeyA related?

CraigBartlett: No, I don't think so. Apparently I just really like the name Petersen.

matt_tighe: Hey Craig! My name is Matt Tighe, and I'm an intern at Nickelodeon in NYC. I'm a huge Hey Arnold fan, and we actually met briefly at Comic Con! I was wondering what it's like to work with Jim Lang, and if you were with him during his recording process. It seems to blend so perfectly with the show! Did you animate with specific music themes/moods in mind?

sourpatchkidj: Jim Lang is a king. Parents Day is one of my favorite pieces of music! So many feels.

CraigBartlett: Jim and I go WAY back, to the end of the 80s. He is the best, period. He is such in integral part of the Hey Arnold vibe that I honestly can't picture the series without him. When he wrote the new cues for the Jungle Movie it was as if we had never stopped making it. The piece that goes under Gerald's "Arnold the hero" video, the score for The Kiss, and the Jungle Movie end credits are essential Arnold music. We will sit and "spot" the episodes together and talk about what went goes where, and for me mostly I point out where music should tell us how to feel.

DoodlesAndJunk: What are some plot elements that were in the original TJM script 15 years ago that were removed or modified in the final edit? Were some ideas rejected by Nick that you wish you could have gotten away with?

CraigBartlett: The whole finding of the hidden city and the discovery of his parents went through huge changes. Also we added Helga's influence in the waking up of the parents. Giving the main characters bigger roles in teaming up to save the day, bringing the parents back alive, all that happened in this version.

Weird_donut: Why did PBS and Nickelodeon premiere episodes of your shows out of order? I know all your shows have continuity.

CraigBartlett: Once we deliver the episodes, sometimes the networks decide to come out with one before another, but they usually stick to our deliveries. Nick held on to Parents Day for a long time, waiting to decide how they wanted to promote it. Also "The Journal," for the same reason.

J-Ali16: When do you think we’ll get to mars?

CraigBartlett: Maybe sooner rather than later, with Elon Musk getting involved! However I'm skeptical, as Amy says we would arrive on Mars dead from solar radiation -- that is until we figure out how to shield our astronauts from the radiation bombardment, both en route and in our Mars habitats.

ironicstickballoon: Hi, Craig! I loved Hey Arnold! as a kid, and I've found that the show still very much holds up today, due to how relatable the stories are.

If you were to make more episodes of Hey Arnold!, what issues would you want to cover now that you couldn't during its original run (maybe due to the topic not existing yet or Nickelodeon not allowing it at the time)?

CraigBartlett: Good question! We would basically try to make a season that was balanced with advancing the stories of favorite side characters, coming up with new Urban Legends, and just seeing what Arnold will do now that he's gotten his slightly-batty parents back, and how they will all figure out how to live in the boarding house together.

###

Update (4/3): CBS Corp. will offer less than the current market value of Viacom Inc. in its opening bid for the owner of Nickelodeon and MTV, according to a person with knowledge of the matter, showing how far apart the companies are as they explore recombining.

CBS' proposed all-stock offer — which could come in the next few days — is expected to put a lower valuation on Viacom than its current market capitalization, according to a person familiar with the process but not authorized to discuss it.

In addition, the CBS offer is expected to stipulate that its chairman and chief executive, Leslie Moonves, would run the combined company for at least two years, the knowledgeable person said. Moonves' contract with CBS goes through mid-2021.

Original post:
Viacom and CBS vice-chairwoman Shari Redstone is pursuing a merger of the two media companies that split more than a decade ago, according to multiple insiders who spoke to TheWrap.

With the Hollywood landscape quickly shifting, Redstone, president of the privately-held National Amusements that controls both media companies, has concluded that a bigger footprint is necessary for the companies to thrive. CBS’ core business is broadcast television along with multiple digital properties, while Viacom holds cable channels like Nickelodeon and Comedy Central along with the Paramount movie studio.

A time frame for any potential merger is unclear, but three individuals with knowledge of the companies said that Redstone is actively moving in that direction, which represented another shift in her back-and-forth mindset on the matter.

Viacom and National Amusements declined to comment, and CBS had no immediate response to a request for comment.

Viacom shares reacted quickly to the news. Shares of the company, which controls MTV, Nickelodeon, Comedy Central and the Paramount movie studio, rose nearly 10% Friday, or $2.95 a share, to $33.76 a share from $30.90. Volume was strong – 12.45 million shares – compared to average volume of 5.07 million.

Shares of CBS rose more modestly, up 1.85%, or $1.07 a share, to $58.83 a share from $57.78. Volume was 6.19 million compared with average volume of 4.01 million.

CBS chairman Les Moonves, who has long resisted talk of recombining the companies, is now open to the possibility, the insiders said. He would be the most likely person to run the merged companies, though Redstone is considering other candidates, according to two insiders.

An individual close to Moonves acknowledged the process to TheWrap: “He’s having active discussions with Shari and the board on a wide variety of issues all the time, including this one. And those discussions continue with regard to looking to merge the two companies.”

One insider told TheWrap that Redstone was looking at other candidates because Moonves was demanding an ownership stake and she thought his demands were too rich. The individual close to Moonves disputed this, saying: “At no time has he asked for an ownership position.”

The move to merge the companies represents another reversal for Redstone, who directly appealed to CBS and Viacom to merge in September 2016, then retreated from this in the following months, presumably because of Moonves’ opposition.

In a letter in September 2016 to both boards from her parent company National Amusements, she touted the potential of “substantial synergies” that a merger would bring. She called on the boards to “respond even more aggressively and effectively” to combat the challenges they both faced.

Redstone later reconsidered after ousting Viacom CEO Philippe Dauman and replacing him with Bob Bakish — whom she installed after successfully wresting control of Viacom in a bruising boardroom and legal battle over succession plans involving her father, Sumner Resdstone.

“We talked about it, and what became apparent to me very quickly was that our assets were severely undervalued, which I had understood, but what I didn’t understand at the time was the significant upside that existed in our businesses once we had a good management team in place and the culture came back,” Redstone said at last May’s re/code conference.

The new merger talk comes amid a new period of consolidation in the entertainment and media industry. In December, Disney announced plans for a $52.4 billion acquisition of the bulk of 21st Century Fox’s movie and TV assets, while telecom giant AT&T is attempting to complete the $85.4 billion acquisition of Time Warner announced more than a year ago.

Meanwhile, the rise of streaming giant Netflix as well as the ambitious moves by tech giants like Amazon and Apple into the entertainment content space have set off a period of strategic change in the sector.

The market cap of Viacom is $12.7 billion, while the market cap of CBS is $23.2 billion.

In February 2016, the then 92-year-old Redstone stepped down as chairman of both Viacom and CBS amid questions about his age and mental competency. Moonves assumed the chairman title at CBS, while Viacom CEO Philippe Dauman was ousted and ultimately replaced by Robert Bakish.

Viacom and CBS had merged into a single company in 1999, which Sumner Redstone split in 2005 in an attempt to maximize shareholder value.

The Redstones control both the CBS and Viacom through their supervoting shares held by National Amusements.

As of December 2016, National Amusements, directly and through subsidiaries, holds approximately 79.8 percent of the Class A (voting) common stock of Viacom Inc., constituting 10 percent of the overall equity of the Company, and holds approximately 79.5 percent of the Class A (voting) common stock and 2.4 percent of the Class B (non‐voting) common stock of CBS Corporation, constituting 9.1 percent of the overall equity of the Company.

Viacom, CBS Shares Rise After Report Suggests New Merger Talks Have Started

Shares of both Viacom Inc. and CBS Corp. rose noticeably Friday after a new report suggested the two companies, both controlled by the Redstone family, could once again be considering the prospect of merging.

A report in The Wrap suggested Shari Redstone, president of the family’s National Amusements movie-theater chain, had recently sparked new discussions within the companies about a possible merger. Her father, Sumner Redstone, had combined CBS and Viacom in 2000, only to pull them apart six years later. National Amusements in September of 2016 formally requested that the boards of both companies consider the possibility of a new merger on an all-stock basis, then stopped the process at the end of that year.

CBS declined to comment. A Viacom spokesman did not immediately respond to a query seeking comment.

The report comes as more media companies are considering tie-ups that would give them a larger footprint in a sector that has been flummoxed by new technology and consumer patterns. Monetizing viewership of content has become more difficult as consumers migrate to new video screens and behaviors that aren’t measured as easily, crimping the flow of advertising support and undermining media companies’ ability to lock in fees from distributors.

To fight back against these trends, a number of prominent media companies have set big acquisitions or outright mergers. Among the recent combinations: Charter Communications and Time Warner Cable and Lionsgate and Starz. Other tie-ups have been proposed but not completed. Discovery Communications is expected to finalize its purchase of Scripps Networks Interactive later this year. AT&T is pursuing legal options to finalize its proposed merger with Time Warner. And Walt Disney has agreed to purchase a substantial chunk of 21st Century Fox, including the 20th Century Fox movie studio, the FX and National Geographic cable networks and a passel of regional sports operations.

The companies that don’t embrace other assets have begun to look considerably smaller.

If a merger is being discussed, it is not on a fast track. A person familiar with the situation suggested no substantive steps in any process were taking place at the current time.

CBS has fared well in recent months, despite its medium size in the sector. The owner of the CBS broadcast network and the Showtime cable outlet has in recent months focused on maximizing the revenue it draws from its content by scrutinizing the fees it draws from retransmission and overseas syndication. Rather than make big acquisitions, CBS has launched a spate of new digital businesses, including the “CBS All Access” subscription video on demand service and a streaming-video news product, CBSN, that makes new use of content from CBS News. Leslie Moonves, the company’s chairman and CEO, has discussed the launch of a new streaming-video sports-content service and CBS has unveiled interesting plans for “All Access,” like a revival of the classic series, “The Twilight Zone.”

Viacom, meanwhile, has worked to recalibrate itself under a new leader. Bob Bakish took over as CEO of the company in December of 2016 and has since that time reorganized the company and placed new leaders in charge of MTV and set about to transform the company’s Spike cable outlet into a more general-entertainment property called the Paramount Network. A launch is slated in the days ahead. Bakish has also placed more emphasis on events related to some of the company’s big assets, including a new festival launched by Comedy Central.

Shari Redstone once again eyeing a merger of CBS and Viacom

Shari Redstone wants to recombine CBS Corp. and Viacom Inc. to better fortify the two medium-sized media companies at a time when other entertainment companies are scrambling to bulk up.

There are no merger talks underway, three people familiar with the matter who were not authorized to publicly discuss the situation said Friday. However, Redstone, whose family controls the voting shares of CBS and Viacom, increasingly sees a merger as a compelling option for the two companies that have operated separately for 12 years, according to these people.

Redstone, who serves as vice chair of both companies, has expressed her feelings to the leadership and boards of the two entities, according to the sources.

"Shari is determined to get them back together," said one of the sources. "Everything else she could think of went nowhere."

Redstone was not immediately available for comment.

Viacom owns MTV, Comedy Central, BET Nickelodeon and the Paramount Pictures film studio in Hollywood. CBS owns the CBS broadcast network, TV stations, premium channel Showtime and a boutique film studio.

Her rekindled interest in merging the companies, which was reported Friday by the Hollywood trade publication the Wrap, comes as little surprise. Redstone previously said she didn't support the decision by her father, the ailing mogul Sumner Redstone, to divide the family empire in 2006.

"I was never a great proponent of the split of the two companies," she said at a media conference in November 2016.

Earlier that fall, Redstone announced that she wanted the two companies to explore a merger and board-level exploration committees were formed. The stronger CBS began evaluating whether to acquire Viacom, but the talks fell apart in December 2016 over a valuation of Viacom, which has seen its stock fall more than 50% since early 2015.

Redstone also decided that she wanted to give Viacom Chief Executive Bob Bakish — who was appointed at the end of 2016 — a chance to turn around the company.

But much has changed in the last year. Key Viacom cable channels continue to struggle with ratings declines and accelerated cord cutting. Viacom generates its profit from cable TV channels, so the shrinking universe of pay-TV homes makes it more difficult to grow its business.

Compounding matters, Paramount is coming off another rough year, with recent flops such as "Suburbicon,""Mother" and "Downsizing." The studio ranked seventh last year among all distributors in market share in the United States and Canada, according to Box Office Mojo.

Paramount's new chairman and CEO, Jim Gianopulos, who joined last year, has been shaking up the studio's executive ranks in an effort to engineer a turnaround.

Meanwhile, CBS' stock stagnated in 2017 as investors grew less bullish on media.

Other medium-sized companies have become merger bait as traditional media companies see increased scale — and distribution — as a way to compete with the likes of Google, Facebook, Amazaon.com and Netflix.

Telecommunications giant AT&T is trying to buy Time Warner Inc., which owns HBO, CNN, TBS and the Warner Bros. movie and television studio. Last summer, two other cable programmers — Scripps Networks Interactive and Discovery Communications — agreed to their own merger.

Then last month, Rupert Murdoch's 21st Century Fox stunned the industry when it agreed to sell much of the company, including the 20th Century Fox movie and television studio, to the Walt Disney Co. Analysts and investors predicted the blockbuster deal would trigger other consolidations, including a recombination of Viacom and CBS.

People close to the companies quickly cautioned that there was no timetable for a deal, or even if one would happen.

"There have been talks about this — and many other things — at the board level," according to one person close to CBS.

Others have speculated on the prospect of a roll-up of CBS, Viacom and Lionsgate. Lionsgate, in recent years, has been more successful than Viacom's movie division.

Viacom shares closed Friday at $33.76, up $2.95, or nearly 10% on Friday.

CBS stock closed up nearly 2%, or $1.05 to $58.83 a share.

CBS and Viacom Reportedly Eyeing Merger

What once was broken may be made whole once again.

TheWrap is reporting that Viacom and CBS vice-chairwoman Shari Redstone is looking to merge the two media companies following their split in 2006.

Amid the Hollywood arms race that has seen AT&T attempt to acquire Time Warner and Disney swallowing up 21st Century Fox, Redstone, who serves as president of National Amusements Inc. and controls both media companies, is looking to scale her own business to keep pace.

CBS earns its keep with broadcast television—the small screen’s most-watched show, The Big Bang Theory, has them set up nicely—and several digital properties. Viacom owns Paramount Pictures, as well as popular cable destinations such as Comedy Central and Nickelodeon.

CBS led all television networks in total viewers last year, according to Nielsen data.

But how serious are these discussions? It depends on who you ask.

According to Reuters, “Viacom Inc and CBS Corp are not in active merger discussions, although controlling shareholder Shari Redstone has had exploratory conversations with CBS directors about recombining the companies.”

CBS declined Observer’s request to comment. Viacom has yet to respond, neither has National Amusements Inc.

No timeline for the potential deal has emerged yet, though TheWrap’s sources say Redstone is pushing for it. She and father Sumner Redstone unsuccessfully attempted to merge the two in 2016.

CBS chairman Les Moonves, who is said to have been against the merger for some time, is reportedly softening on that position. If the merger were to go through, he is thought to be the frontrunner to head both companies.

Here’s how one of TheWrap’s sources explained it: “He’s having active discussions with Shari and the board on a wide variety of issues all the time, including this one. And those discussions continue with regard to looking to merge the two companies.”

“I’m very confident that our unparalleled collection of businesses will continue to grow in their present form, as well as the many new platforms that are making a splash in the new media landscape,” Moonves said of the split back in 2006. The move was originally made to diversify the media conglomerate and regain the confidence of Wall Street investors.

This rumor pops up as other major deals are going down across Hollywood.

The aforementioned sale of Time Warner to AT&T comes with a price tag of $85.4 billion, while Disney’s acquisition of Fox set them back $52.4 billion. Some insiders have also posited that Apple is eyeing Netflix for an estimated $75 billion.

More details to come…

Shari Redstone explores adding new CBS directors - WSJ

(Reuters) - Shari Redstone, a controlling shareholder of CBS Corp (CBS.N), has discussed adding new directors to the CBS board as she renews her push to merge the company with Viacom Inc (VIAB.O), The Wall Street Journal reported on Wednesday.

Shari Redstone and Sumner Redstone, her ailing 94-year-old father, together control both CBS and Viacom Inc (VIAB.O) through their privately owned movie theatre company, National Amusements Inc. The Redstones failed in an attempt to merge the two companies in 2016.

Shari Redstone, who is vice chair of the CBS board, has had exploratory conversations with CBS Chief Executive Leslie Moonves and directors about recombining the companies, sources have told Reuters.

While Moonves is receptive to a combination, he has some reservations, sources have told Reuters.

Spokesmen for CBS and Viacom declined to comment.

CBS is looking to replace several of its directors at its annual shareholders meeting in May, and Shari Redstone is gathering names of possible candidates, according to The Wall Street Journal.

Shari Redstone’s push to revisit a CBS merger with Viacom has become more pressing in light of Walt Disney Co’s (DIS.N) planned acquisition of a majority of Twenty-First Century Fox Inc’s (FOXA.O) assets, the sources told Reuters.

A combined CBS, which owns cable networks including Showtime and The Movie Channel as well as the CBS TV Network and CBS TV Studios, and Viacom, whose businesses include Paramount Pictures, Nickelodeon Movies and MTV Films, would have more negotiating leverage with cable and satellite companies.

In addition, Shari Redstone does not want to wait for the verdict on the U.S. Department of Justice’s lawsuit to block AT&T Inc’s (T.N) $85 billion acquisition of Time Warner Inc (TWX.N), which is set to go to trial in March, the sources told Reuters. The Justice Department is suing to block that deal on the grounds that it is anti-competitive.

If that deal were to fall through, it would mean both AT&T and Time Warner Inc may look for other companies to combine with, sources have said.

Viacom’s new CEO, Bob Bakish, has improved relations with distributors, found financing for Paramount Pictures after Chinese investors dropped out and shuffled programming.

Even so, Viacom’s stock is trading around $32 a share, below the $35-$38.80 range it was trading at when it and CBS explored a merger in late 2016.

It is unclear if the valuation and corporate governance issues that caused the deal to fail in 2016 remain.

Some analysts said they believe the selloff in Viacom, along with the consolidation in the media space, should prompt CBS to revisit the deal.

“We think now is as good a time as any to reexamine why we continue to believe this deal is the most logical and appropriate transaction to take place within our media coverage universe,” MoffettNathanson analysts wrote this week.

Shari Redstone Pushing for New Board at CBS (Report)

There are no active talks to merge the companies as of the moment.

If the board of directors at CBS isn't keen on merging the company with Viacom, then some of the directors apparently need to be replaced.

At least that's what Shari Redstone might be advocating, The Wall Street Journal reported on Wednesday.

Redstone and her family control both Viacom and CBS through their large stake in National Amusements, and insiders say she's been getting serious about her desire to see the two media companies combined again, as they were prior to splitting Viacom in two back in 2005.

CBS CEO Les Moonves and some others on the board, though, have been resisting, and CBS investors appear to be siding with them. On Wednesday, for example, Viacom shares jumped 4 percent at the prospect of a new merger-friendly board at CBS, while shares of CBS fell 2 percent.

Rumors that CBS will merge with Viacom pop up often, most recently last week, though by Monday it appeared to Wall Street that there was nothing concrete in the works, which removed a catalyst for Viacom's long-suffering stock to move higher.

On Tuesday, in fact, Rosenblatt Securities analyst Alan Gould lowered his rating on Viacom stock to "sell" based on his opinion that it won't merge with CBS anytime soon, while he reiterated a "buy" recommendation on CBS. The analyst says CBS would make a better partner with Verizon, among others, than it would with Viacom.

While insiders tell The Hollywood Reporter that there are no active talks to merge Viacom and CBS right now, the Journal says that Redstone reached out to Moonves earlier this month to request that he start negotiating as early as this quarter.

Investors on both sides appear to be clamoring for something dramatic to happen, as shares of both Viacom and CBS trade for less than they did a year ago even as the stock market in general has been on a powerful bull run.

Plus, AT&T's pending acquisition of Time Warner and Disney's pending acquisition of most of 21st Century Fox has Wall Street presuming that media companies need to grow bigger, quickly, through acquisition, if they're to remain competitive.

CBS had no comment, and Viacom was not available for comment.

Revival of CBS-Viacom Merger Talk Sows Tension Within Redstone Empire, Again

Chatter about Shari Redstone revving up an effort to recombine Viacom and CBS Corp. is sowing tension within both companies.

CBS insiders were aghast at a report in the Wall Street Journal Wednesday citing Redstone’s concern about a lack of long-term strategic planning at the Eye and the level of independence among its board members.

Meanwhile, Viacom executives are once again nervous about the potential for consolidation with CBS to bring wholesale changes to the management of the company, particularly the cable networks division. The sentiment among insiders is that things have only just started to settle down after a year of turmoil in 2016, before Bob Bakish was named permanent CEO in December of that year.

“Here we go again,” said an executive at Viacom’s MTV Networks.

Sources at both companies expressed surprise and frustration that the first stirrings of a re-merger effort are emerging through media reports rather than through the board room. A rep for Redstone declined to comment.

Redstone, who is vice chairman of Viacom and CBS, went public with her desire for the companies to reunite in the fall of 2016 but ultimately backed down after pushback from both boards on questions of price and governance. At that time, Viacom was on the ropes after a months-long legal battle between controlling shareholder Sumner Redstone, Shari Redstone and former Viacom CEO Philippe Dauman.

CBS and Viacom were first brought together by Sumner Redstone in 2000. But six years later, the mogul opted to re-divide the companies into separate entities. At the time, Redstone said he thought it would help both companies realize their true valuation from the market. Shari Redstone is on record as having opposed the split back in 2005.

The $52.4 billion deal unveiled last month by Disney to acquire 21st Century Fox has quickly heightened pressure on smaller media conglomerates like CBS Corp. and Viacom to bulk up or be seen as a takeover target. The Redstones’ tight control of CBS and Viacom has frustrated past efforts for CBS Corp. chairman-CEO Leslie Moonves to engage in merger conversations with prospective partners such as Time Warner, Lionsgate and more recently, Verizon.

It’s understood that Shari Redstone has insisted Viacom be part of any M&A conversations involving CBS. That’s a big hurdle for suitors who might be interested in CBS’ broadcast assets and its vast library of TV shows.

Viacom’s biggest drawback is its reliance on the MTV Networks division as its engine of earnings and profits. Not only are the core Viacom cablers (MTV, Nickelodeon, Comedy Central) facing ratings challenges, as is every other traditional TV outlet, but it’s clear that Viacom will have to shed some of its lower-profile channels in the coming years. How to put a price on those lesser channels today, given their steadily diminishing value, was a big part of the obstacle to re-merger discussions in 2016.

The coolness from top brass at CBS to a deal with Viacom has been palpable. It’s seen as a rescue effort for Viacom, which is still battling tough forecasts of declining affiliate and advertising revenue for its cable networks in the coming years. Viacom is also still in the early stages of a management turnover at Paramount Pictures, which hemorrhaged red ink during the previous three years.

CBS, on the other hand, has ridden the boom in content licensing to a series of record quarters. In March 2016, CBS laid out a five-year strategic plan at a daylong investor presentation in which it cited content licensing, international expansion, retransmission consent revenue, and new streaming platforms including CBS All Access and Showtime as pillars of its growth plan.

The Eye committed at that presentation to deliver 8 million OTT subscribers by 2020; last August, Moonves said CBS All Access and Showtime’s standalone streaming service were more than halfway to that goal. Retrans revenue, a big driver of profits, is projected to hit $2.5 billion annually by 2020.

On the international front, CBS has expanded Showtime’s reach in key foreign markets for the first time during the past two years, and it also swooped in on the fire sale of Australia’s Network Ten in November.

The level of detail that CBS laid out in 2016 and the progress reports delivered since then were cited by multiple CBS sources who were outraged by the reference to a lack of long-term planning in the Journal report, which cited multiple sources familiar with Redstone’s thinking.

The reported drive by Redstone to find replacements for some of CBS’ board members also rankled insiders, given the prominence of independent directors such as former Bank of America chairman Charles Gifford, former senator and Defense Secretary William Cohen, former NAACP president Bruce Gordon, and Harvard Law School dean Martha Minow. CBS typically holds its annual meeting in May. It’s unclear how many directors will be up for re-election at that time.

Sources said there is consternation within CBS over fears that tension between Moonves and Redstone could be destabilizing overall for the company. Sources close to the situation said that as of Wednesday, there have been no formal steps to initiate merger talks between the two boards.

Wall Street Has Mixed Response To Word Of Renewed Viacom-CBS Talks

UPDATED at 2:20 pm: Investor reaction has been mixed this afternoon to renewed speculation that CBS and Viacom are about to recombine.

A Wall Street Journal report this afternoon confirmed a story late last week that the former corporate siblings were again exploring a merger. An hour before the close of trading today, Viacom shares are up 2% to $31.96, given the perceived benefits of tying a cable-bundle-dependent company to the No. 1 broadcaster.

The two companies merged in 1999 in a then-momentous transaction, before parting ways in 2006. They had previously explored coming together again before abandoning plans in 2016. Given the Disney-Fox deal, AT&T’s pending takeover of Time Warner and a host of others, the urgency is growing for next-tier players to gain scale.

Sources said CBS Chief Executive Leslie Moonves had been deeply skeptical in 2016 about the value of the combining the broadcaster, which was thriving, with the struggling Viacom. And Viacom was optimistic about its prospects under the new leadership of Robert Bakish.

But the media landscape has shifted substantially since then.

“It’s ludicrous to thinking CBS and Viacom can be stand-alone companies,” said BTIG’s veteran media analyst Richard Greenfield. “It’s 18 months delayed for no reason other than Les Moonves’ obstinance. That’s what stopped this deal. In a world where Disney and Fox are merging, his obstinance no longer matters.:

What does matter, in the current climate, is scale. Content companies need a stronger balance sheet, in order to pursue sports, or need to amass a more content for an over-the-top service. CBS’s streaming service would be bolstered by Viacom’s wealth of children’s programming through Nickelodeon, Greenfield notes, not to mention Paramount’s film library.

According to the Journal, Shari Redstone is the chief proponent of the idea. She contacted CBS CEO Leslie Moonves, who previously had resisted the notion, to renew discussions about merging the broadcaster with Viacom.

The Redstone family controls CBS and Viacom through their holding company, National Amusements.

Exclusive - Viacom, CBS CEOs discuss potential merger: sources

(Reuters) - Viacom Inc Chief Executive Bob Bakish and CBS Corp CEO Leslie Moonves have had an exploratory discussion about merging the two media companies, sources familiar with the situation told Reuters on Thursday.

The discussion is a potential first step toward a recombination of CBS and Viacom. The boards of both companies have regularly scheduled meetings in the next several weeks and are expected to discuss the potential merger, the sources said.

The discussion between Bakish and Moonves, which took place earlier this month, was preliminary and no decisions have been made, but it signals that Moonves, who has had reservations about a potential deal between the companies, could be more open to the idea.

The sources wished to remain anonymous because they are not permitted to speak to the media. Viacom and CBS declined to comment. A spokeswoman for Shari Redstone declined to comment.

CBS and Viacom explored and decided against a merger in 2016, at the urging of its controlling shareholders, ailing 94 year-old media mogul Sumner Redstone and his daughter Shari Redstone. Those merger talks failed due to concerns by CBS’ directors and Moonves over the financial sense for CBS shareholders and governance issues.

Shari Redstone has continued to discuss with executives at both companies her desire to merge the two, which has gained steam since Walt Disney Co announced in December it would acquire a majority of Twenty-First Century Fox Inc’s assets, sources have told Reuters.

A combined company with CBS, which owns cable networks including Showtime as well as the CBS TV Network and CBS TV Studios, and Viacom, whose businesses include Paramount Pictures, Comedy Central, Nickelodeon and MTV, would have more negotiating leverage with cable and satellite companies.

“Scale matters now and is going to continue to matter in the future,” Shari Redstone told an audience at a luncheon at the Paley Center for Media in New York City last fall when asked about a potential CBS merger.

In a world with video streaming service Netflix Inc, which has a market capitalization of $113 billion and is dominating the media landscape, there is more pressure than ever on CBS and Viacom to merge, said Rich Greenfield, an analyst at BTIG.

CBS and Viacom combined would have a market value of more than $37 billion.

“There is an urgent need for scale,” he said. “And both companies are facing challenges that a combination could help address,” Greenfield said. “It is eat or be eaten.”

Bakish is expected to have a senior role at the combined company if the two companies agree to a merger, sources said.

Since he took over Viacom in late 2016, Bakish, 54, has improved relations with distributors, found financing for Paramount Pictures after Chinese investors dropped out and shuffled programming.

Even so, Viacom’s stock has been trading around $33 a share, below the $35 to $38.80 range it was trading at when it and CBS explored a merger in late 2016.

Viacom shares were last up 1.8 percent in afternoon trade. CBS shares were up 0.5 percent.

CBS Corp. and Viacom Inch Closer to Formal Merger Discussions

CBS Corp. and Viacom are inching toward formally exploring a corporate reunion of the two halves of the Redstone media empire.

There is less opposition within CBS Corp. this time around compared to the last attempt by CBS/Viacom vice chairman Shari Redstone to bring the two companies back together in the fall of 2016. The early rumblings are that CBS would acquire Viacom in an all-stock transaction.

There are still big hurdles to clear in terms of valuation for Viacom, given the systemic concerns around its lower-profile U.S. cable networks, but there is also an understanding that the media landscape is changing fast and the potential for the two sides to work together on international growth initiatives provides rationale for a reunion. Viacom’s share price has also tumbled further during the past year, making a deal more attractive on a financial basis for CBS shareholders. As of Thursday, Viacom had a market cap of $13.8 billion, with shares closing at $33.61. CBS is valued at $22.7 billion, with shares closing at $59.27.

Sources close to the situation emphasize that neither side has yet engaged bankers or advisers to hammer out an agreement. But CBS Corp. CEO Leslie Moonves and Viacom CEO Bob Bakish have had at least one discussion about the possibility of merging, according to a Reuters report Thursday.

Media reports earlier this month that Redstone was poised to nudge the two companies into merger discussions raised some hackles at both companies. But after the emotions settled, the positive attributes of a reunified company are said to have become clearer for both camps. It’s understood that Moonves would run the combined operation with Bakish serving as a key corporate lieutenant. In 2016, the merger discussions initiated by National Amusements, the Redstone family holding company, came before Bakish was appointed as permanent CEO and Viacom was still reeling from the public legal battle between the Redstones and former Viacom CEO Philippe Dauman.

CBS and Viacom were first brought together in 2000 by Sumner Redstone, now chairman emeritus of both firms. The two were split up again in January 2006 out of Sumner Redstone’s frustration with a sagging stock price.

Moonves and Bakish have had a cordial relationship over the years. The two came to know each other after Viacom acquired CBS in 2000, when Bakish was running Viacom’s international channels division.

CBS’ management team has had a storied run of maintaining its status as the nation’s most-watched network, building Showtime into a major player, expanding its TV production activity, and diving into the OTT arena with CBS All Access. The expectation is that a recombined CBS and Viacom would have a stronger balance sheet to compete for talent, M&A opportunities, and for the pricey sports rights that have been crucial to CBS’ ability to wring top dollar out of MVPDs in retransmission consent deals.

For CBS, access to Viacom’s Paramount Pictures unit would help CBS’ Showtime pay cable network. The general streamlining of overlapping operations could yield savings of as much as $500 million, according to analyst Michael Nathanson of MoffettNathanson.

The downside for CBS is that the enlarged company would be the antithesis of the strategy that the Eye has touted to investors for years. CBS Corp. and its handful of channels anchored by the mothership broadcast network has been able to command top dollar from MVPDs in retrans and carriage agreements because it has been able to drive hard bargains for two must-have channels: CBS and Showtime. Adding Viacom’s 25 domestic cable channels would change the dynamic of discussions with traditional and upstart MVPDs considerably.

Under Bakish, however, Viacom has taken big steps to channel most of its programming resources into six flagship cable brands — Nickelodeon, MTV, VH1, BET, Comedy Central and Paramount Network (the rebranded Spike TV that debuted last week). Undoubtedly, it is only a matter of time before Viacom begins to shutter some of its lesser channels which are already losing distribution as MVPDs take a harder line in dealmaking and consumers embrace skinnier, cheaper bundles.

A deal between CBS and Viacom would also remove a hurdle to future M&A activity. It’s understood that the Redstones had previously balked at dealmaking opportunities involving CBS Corp. unless Viacom was also in the mix.

Reps for CBS, Viacom, and Shari Redstone declined to comment. The companies will likely have to acknowledge the brewing discussions by the time that both report earnings for the fourth quarter of 2017. Viacom is up first on Feb. 8, followed by CBS on Feb. 15.

Update - From Reuters UK:

CBS board to discuss potential Viacom merger on Thursday: sources

CBS Corp’s board is expected to discuss a merger with Viacom Inc on Thursday, sources told Reuters, a move that could begin a formal process to reunite the companies split by controlling shareholder Sumner Redstone more than a decade ago.

The board will need to decide if the deal is now attractive enough to CBS shareholders to overshadow concerns that scuttled a proposed tie-up pushed by Sumner and his daughter Shari Redstone in 2016.

The CBS board meeting is regularly scheduled and no announcement may come out of it, said the sources, who wished to remain anonymous because they are not permitted to speak to the media.

Viacom and CBS spokespeople declined to comment.

Viacom Chief Executive Bob Bakish and CBS CEO Leslie Moonves talked about the potential merger earlier this month, Reuters reported.

Viacom’s Nickelodeon and MTV networks and Paramount films could help broadcast-focused CBS’ All Access streaming service become more competitive, and the combined company could also better negotiate with cable and satellite distributors.

“They might be better able to develop more robust OTT offerings faster as a combined entity,” said Michael Nathanson, analyst with Moffett Nathanson, referring to “over the top” streaming.

Some could argue Viacom’s international presence is now more important for CBS given the rapid decline in U.S. cable subscriptions, some analysts have noted.

Walt Disney Co’s recent deal to buy Twenty-First Century Fox Inc assets has stoked a fresh push from Shari Redstone to rejoin the companies her father split in 2006.

Bakish has improved distributor relations, found financing for Paramount Pictures after Chinese investors dropped out and shuffled programming since taking over Viacom in late 2016.

But Viacom shares trade around $33, below a $35 to $38.80 range when the merger was last on the table, potentially making a deal more feasible.

CBS and Viacom last explored merging at the urging of ailing media mogul Sumner Redstone, 94, and Shari Redstone, who control both through privately held National Amusements.

Moonves and CBS’ board had concerns over corporate governance and the deal’s financial rationale, and the Redstones called off the effort in December 2016.

For CBS, which owns the CBS network, local broadcasters and Showtime, taking on cable networks could mean a difficult integration and tough negotiations, said Tim Nollen, analyst with Macquarie Research.

Merging for size alone may not make sense in the long term, and CBS could be better off on its own, some analysts cautioned.

Viacom shares were down 0.4 percent in afternoon trade. CBS shares fell 1.8 percent.

Also, from Reuters UK:

CBS, Viacom form special committees to explore merger

CBS Corp and Viacom Inc have formed special committees to explore a merger, the companies said on Thursday, the first step in potentially reuniting the companies split by media mogul Sumner Redstone more than a decade ago.

In separate statements, each company said that there is no assurance that the process will result in a transaction, and they would not comment further until the process is completed.

The companies had previously explored a merger in 2016 at the urging of ailing 94-year-old Sumner Redstone and his daughter Shari, who control CBS and Viacom through privately held National Amusements Inc.

Those talks failed due to concerns by CBS’ directors and Moonves over governance issues and the deal’s financial sense for CBS shareholders.

But Shari Redstone has continued to discuss with executives at both companies her desire to merge the two, which intensified after Walt Disney Co announced in December it would buy a majority of Twenty-First Century Fox Inc’s assets, sources have said.

“National Amusements supports the processes announced by CBS and Viacom to evaluate a combination of the two companies, which we believe has the potential to drive significant, long-term shareholder value,” the company said in a statement.

CBS Chief Executive Leslie Moonves and Viacom CEO Bob Bakish held discussions in January about a potential deal. The boards of both companies decided on Thursday to begin a formal process to explore the deal through special committees.

The deal would pair CBS’s broadcast network, television studios and Showtime cable network with Viacom’s Paramount Pictures, Comedy Central, Nickelodeon and MTV.

That could help CBS’ streaming service compete with Netflix Inc and boost the combined company’s leverage with cable and satellite distributors.

Also, from the LA Times:

CBS, Viacom boards form exploratory committees to evaluate a merger

CBS Corp. and Viacom Inc.'s boards each have formed special committees to evaluate whether a merger of the two companies would benefit shareholders.

CBS' decision came Thursday during a board meeting, an important first step in a process that could result in the reunification of CBS and Viacom.

Within a few minutes of CBS' announcing its move, Viacom separately released a statement saying that its board had taken the same step.

Viacom's board has "established a special committee of independent directors to evaluate a potential combination with CBS Corp.," the company said in a statement. "The committee has retained independent legal counsel and is retaining independent financial advisors in connection with this evaluation."

The two companies are controlled by the Sumner Redstone family. Shari Redstone, daughter of the ailing 94-year-old mogul and vice chairperson of both companies, favors the consolidation. Redstone and her family, through its holding company, National Amusements, control nearly 80% of the voting shares of the two companies.

However, the special committees will be composed of independent shareholders who must weigh whether a transaction would benefit all shareholders.

"National Amusements supports the processes announced by CBS and Viacom to evaluate a combination of the two companies, which we believe has the potential to drive significant, long-term shareholder value," the firm said in a statement. "National Amusements does not currently intend to make any further comments regarding the process."

It's unclear who would run the combined company, if the merger comes together. Although CBS Chief Executive Leslie Moonves has a strong track record managing CBS, Redstone might instead favor Bob Bakish, the executive she tapped to be chief executive of Viacom nearly 14 months ago.

CBS and Viacom are both medium-sized companies in a rapidly changing landscape where huge conglomerates, such as AT&T and the Walt Disney Co., are trying to scoop up media companies to better compete against internet giants Google, Apple, Facebook, Netflix and Amazon.com. Viacom owns MTV, VH1, Comedy Central, Nickelodeon and the Paramount Pictures movie studio.

CBS, which owns the CBS television network, TV stations and Showtime, is the stronger of the two companies. Wall Street values CBS at $22.5 billion. Its stock closed up 2.3% to $58.93 on Thursday.

Viacom, which has a market capitalization of $13.6 billion, has been trying to overcome management missteps, including a lack of investment in television programming, an uneven strategy for online distribution and consistently poor-performing movies at Paramount Pictures. Viacom also blundered by buying back its stock at inflated prices.

Viacom shares on Thursday closed down less than 1%, or 21 cents, to $33.21.

The two firms, both based in New York City, were part of the same company until 2006, when Sumner Redstone separated them because he believed that Viacom with its then-powerful portfolio of cable channels would be a growth stock. The more sturdy CBS was expected to pay investors a healthy dividend.

But the television landscape has dramatically shifted since then. CBS has been able to boost its value on the strength of its programming. The company has substantially increased revenue through the fees it charges cable and satellite television distributors who want to include CBS in their pay-TV bundle.

At the same time, Viacom has seen its revenue shrink. As its networks have grappled with lower ratings, Viacom has come under pressure from Charter Communications and other cable providers to reduce its carriage fees.

CBS, Viacom Move Toward Merger Talks as Boards Begin to Evaluate Possible Deal

CBS Corp. and Viacom have taken the first steps toward negotiating a merger as both companies have established special board committees to evaluate a possibility of a deal.

CBS said Thursday its board has assembled a committee of independent directors to “evaluate a potential combination with Viacom Inc.” Viacom said it has “retained independent legal counsel and is retaining independent financial advisors in connection with this evaluation.”

The news came after a regularly scheduled CBS board meeting was held Thursday afternoon.

“There can be no assurance that this process will result in a transaction or on what terms any transaction may occur. Neither CBS nor the committee intends to comment further, until the process is completed,” CBS said in a statement. Viacom’s board issued the same statement.

National Amusements, the parent company of CBS and Viacom, endorsed the moves with a statement of its own. National Amusements president Shari Redstone, who is vice chairman of CBS and Viacom, has urged the companies to consider a reunion, given the pressure in the media landscape by M&A among its traditional rivals — Disney’s acquisition of most of 21st Century Fox and AT&T’s effort to buy up Time Warner — and the entry into the content arena by digital and tech behemoths with extremely deep pockets.

“National Amusements supports the processes announced by CBS and Viacom to evaluate a combination of the two companies, which we believe has the potential to drive significant, long-term shareholder value. National Amusements does not currently intend to make any further comments regarding the process,” the company said.

The statements mark the latest sign that the reunion of the two companies is in the offing. There are still big hurdles to clear in terms of valuation of a deal, given the systemic concerns around the diminishing value of Viacom lower-profile U.S. cable networks. But there is also an understanding that the media landscape is changing fast and the potential for the two sides to work together on international growth initiatives provides rationale for a reunion. Viacom’s share price has also tumbled further during the past year, making a deal more attractive on a financial basis for CBS shareholders. As of Thursday, Viacom had a market cap of $13.6 billion, with shares closing at $33.21. CBS is valued at $22.5 billion, with shares closing at $58.93.

There’s speculation that the deal would be structured as an all-stock transaction with CBS acquiring Viacom. Share prices for both companies were up in after-hours trading following the board announcements.

CBS and Viacom were first brought together in 2000 by Sumner Redstone, now chairman emeritus of both firms. The two were split up again in January 2006 out of Sumner Redstone’s frustration with a sagging stock price.

During the past 14 months under CEO Bob Bakish, however, Viacom has taken big steps to channel most of its programming resources into six flagship cable brands — Nickelodeon, MTV, VH1, BET, Comedy Central, and Paramount Network (the rebranded Spike TV that debuted last week). Undoubtedly, it is only a matter of time before Viacom begins to shutter some of its lesser channels which are already losing distribution as MVPDs take a harder line in dealmaking and consumers embrace skinnier, cheaper bundles. CBS Corp. chief Leslie Moonves has been vocal to investors about the importance of CBS focusing on a few must-have channels in MVPD negotiations rather than having to fight for carriage of lesser outlets.

A deal between CBS and Viacom would also remove a hurdle to future M&A activity. It’s understood that the Redstones had previously balked at dealmaking opportunities involving CBS Corp. unless Viacom was also in the mix. CBS is known to have had merger discussions with Verizon in recent months.

CBS and Viacom, After 12 Years Apart, Again Explore Deal to Recombine

Shari Redstone, who with her father Sumner Redstone controls both companies, believes they need greater scale to compete

CBS Corp. and Viacom Inc. said Thursday that their boards have formed special committees to evaluate a potential merger, a deal that would reunite the two big pieces of the Redstone family’s media empire.

Shari Redstone, vice chairman of both companies, is pushing for a merger, people close to the discussions say. She, along with her 94 year-old father, Sumner Redstone, controls CBS and Viacom, with a roughly 80% controlling stake in each company through their holding company National Amusements Inc.

This is the second time in less than two years that Ms. Redstone has tried to get CBS and Viacom back together, after they split up in 2006.

Ms. Redstone believes both companies need greater scale to better compete against bigger rivals, people familiar with her thinking say. The new push comes as AT&T Inc. tries to acquire Time Warner Inc. and Walt Disney Co. has a pending deal to purchase the majority of 21st Century Fox ’s entertainment assets.

CBS Chief Executive Leslie Moonves has previously resisted attempts to merge with Viacom and people close to him say he is wary of the combination.

In a statement, National Amusements said it supports the moves by CBS and Viacom to explore the deal, “which we believe has the potential to drive significant, long-term shareholder value.”

CBS and Viacom said in statements they wouldn’t comment further on the matter.

Ms. Redstone took pole position in the family empire in 2016 after a power struggle in which Viacom’s earlier management team was ousted.

Now she faces the challenge of setting up both companies for the future, especially Viacom, owner of more than two dozen cable channels including MTV, Nickelodeon and Comedy Central and the Paramount Pictures studio. Viacom was especially hard hit in recent years as young viewers migrated away from its networks.

Merging with CBS is a tempting solution: It would help shore up Viacom’s balance sheet and combine its channels with a valuable portfolio that includes prime-time CBS programming, sports content such as NFL football and the premium cable channel Showtime.

Ms. Redstone reached out to with Mr. Moonves last month to make the case for restarting merger talks, people familiar with the situation said. Ms. Redstone also began pressing for new blood on CBS’s board, the people said.

CBS isn’t opposed to growing, but it isn’t yet convinced that Viacom’s assets are the best path to scale, a person familiar with Mr. Moonves’s thinking said.

Viacom Chief Executive Robert Bakish, meanwhile, has been attempting a turnaround there. When Mr. Bakish was named chief executive just over a year ago, the company was losing revenue, its debt was teetering on junk status, its channels were losing audience and its Paramount studio had just lost nearly half a billion dollars in a single year.

He has tried to right the ship by improving relations with Viacom’s distribution partners, slimming the company’s strategic focus to six flagship cable channel brands, starting a digital content studio and improving collaboration between divisions.

Under Mr. Bakish, Viacom has maintained its cable channel-carriage agreements but it has been forced in some cases to accept lower fees, hurting the long-term outlook for its distribution revenue.

Analysts think Viacom would have greater leverage to negotiate with distributors if it were part of CBS. MoffettNathanson analyst Michael Nathanson said a deal also could offer “substantial cost synergies.”

Others counter that in this case bigger may not be better. “We do not view ‘scale’ as an all-encompassing positive—especially when ‘scale’ just means slapping two completely different companies together just to get bigger,” said Wells Fargo analyst Marci Ryvicker in a recent note.

Both Viacom and CBS had fallen short of analysts’ initial expectations for profitability in 2017—although Viacom fared much worse than CBS—and the pressure to consolidate has only increased, people close to the situation say.

Ms. Redstone believes Mr. Bakish would make sense as Mr. Moonves’s eventual successor at a merged company, the people familiar with the matter said.

Inside CBS, Chief Operating Officer Joe Ianniello is seen as Mr. Moonves’s successor and has a clause in his contract allowing him to leave at the end of this year if he isn’t named president or if someone else is named president or chief executive, according to a regulatory filing.

Mr. Moonves, who is well-regarded by Wall Street, has a few cards to play against Ms. Redstone if he ultimately isn’t convinced that a merger is the right move. According to his contract, he can leave for “good reason” if a non-executive chairman is appointed, or if the board “ceases to consist of ‘original independent directors’ and ‘qualified replacement directors.’ ”

Ms. Ryvicker said in her report that a departure by Mr. Moonves would weigh on CBS shares.

Animal Trainers Sue Over Talent Fight on Nickelodeon’s ‘Mutt & Stuff’

A Hollywood animal casting agency says they got the doggone shaft when a trainer went behind their back and cut his own lucrative deal, and now they’re looking to collect some major bones, reports The Blast.

According to documents obtained by The Blast, Animal Savvy says in 2013 and 2014 they were approached by a production company to provide a “number of dogs to perform on a television special pilot called Mutt & Stuff.

Animal Savvy says they immediately contacted famed animal trainer Omar Von Muller, who famously trained the late pup Uggie from The Artist. Muller had a dog named Jumpy (pictured above) that the casting agency thought would be perfect for the role of Zippy.

After the show got picked up by Nickelodeon, Animal Savvy says they were selected as the animal provider, so they cut a deal with Von Muller to use Jumpy and two of his other dogs, Popeye and Dash.

Mutt & Stuff became a clear success, but Animal Savvy says the money Muller was getting “was apparently not enough,” so he allegedly hatched a deal with producers to cut Animal Savvy out of the deal with his dogs.

Animal Savvy says in October 2015 they got a text message from Muller informing them that “Jumpy is irreplaceable, he’s the star of the show that nickelodeon wants.” Muller allegedly said he could not work with Animal Savvy as a partner anymore, and that “You can still make money out of 20 dogs if you want to, but not from mine. Especially Jumpy.”

Muller allegedly effectively cut Animal Savvy out of their 1/3 animal rental fee, and now they’re going after Muller for $98,141.66 claiming he breached their contract by trying to cut his own deal.

Set in a unique school for dogs, Mutt & Stuff stars Calvin Millan and his dad, Cesar, star of Cesar 911 and original star of Dog Whisperer with Cesar Millan, interacting with a cast of both real Dogs and puppets. With the help of 15 playful puppies and charismatic puppets, Calvin educates preschoolers on how to train and guide their dogs, as well as showcase the friendship and loyalty that puppies can provide. The series has a social-emotional curriculum that helps preschoolers identify and manage emotions, build interpersonal awareness and develop social skills.

Mutt & Stuff is created and executive produced by Sid & Marty Krofft (H.R. Pufnstuf, Land Of The Lost, Electra Woman and Dyna Girl, Sigmund and the Sea Monsters, The Bugaloos), along with Bradley Zweig (Yo Gabba Gabba!, Wallykazam!). Cesar Millan also serves as executive producer.

From Executive Producer, John Cena, comes Keep It Spotless– a brand new Nickelodeon game show where kids compete to stay clean throughout a series of very messy challenges! In each episode, teams of kids wearing ultra-white morph suits, compete in a series of physical games where they have one goal — to stay spotless! But it won’t be easy, as each round presents them with increasingly challenging paint-filled obstacles. At the end of each game, a 360-degree scanner will measure their mess and determine just how clean they really are. The team who can stay the cleanest will have the opportunity to run an exciting final course where they can win big!
